President William Ruto has officially assented to three key legislative measures — the Income Tax (Amendment) Bill, the Special Economic Zones (Amendment) Bill, and the Technopolis Bill — in a ceremony held at State House, Nairobi, marking a major shift in Kenya’s investment and tax policy framework.

The signing, conducted on Monday at State House, brings into law reforms aimed at modernising Kenya’s tax system while strengthening the country’s attractiveness to both local and international investors. The government says the changes are part of its broader plan to stimulate economic growth and improve ease of doing business.

The Income Tax (Amendment) Bill introduces significant changes in the taxation of corporate restructuring. Under the new provisions, companies reorganising their internal structures within the same corporate group will no longer automatically face tax penalties, provided the transactions are proportional and do not result in disguised profit distribution.

Previously, such corporate restructurings were often treated by the Kenya Revenue Authority (KRA) as taxable events, particularly where asset transfers between related entities were interpreted as dividend distributions. The new law seeks to eliminate this uncertainty and reduce the tax burden on legitimate business reorganisations.

The government argues that the reform will encourage companies to expand, merge, or restructure more efficiently without fear of unintended tax liabilities. Officials say this will particularly benefit large firms operating across multiple subsidiaries in Kenya and the wider East African region.

The Special Economic Zones (Amendment) Bill strengthens the legal and operational framework governing SEZs in the country. The revised law enhances incentives offered to investors, including tax reliefs and simplified regulatory procedures, in a bid to attract foreign direct investment and boost export-oriented production.

According to the government, the strengthened SEZ framework is expected to position Kenya more competitively in the regional manufacturing and logistics space. The zones are designed to offer a more predictable business environment, especially for multinational companies seeking production bases in Africa.

The Technopolis Bill, also signed into law, focuses on accelerating the development of innovation-driven cities and technology hubs. The legislation provides a framework for establishing and managing technopolises, which are intended to host research institutions, startups, and technology firms in designated zones.

Officials say the Technopolis framework will support Kenya’s ambition of becoming a leading digital economy in Africa by fostering innovation, research, and high-tech manufacturing. It is expected to complement existing initiatives such as the Konza Technopolis project.

Collectively, the three laws form part of the government’s broader economic transformation agenda, which prioritises industrialisation, digital growth, and investment attraction. The administration has consistently argued that legal and tax reforms are necessary to unlock private sector-led growth.
